Privacy Policy

This Privacy Policy explains how Radiant Red LLC, doing business as QuorumKeeper™ (“QuorumKeeper™,” “we,” “us,” or “our”), collects, uses, discloses, retains, and protects personal information in connection with the QuorumKeeper™ website, application, support services, and related communications (collectively, the “Service”).

This Policy should be read with the QuorumKeeper™ Terms of Service and any additional notice presented when personal information is collected.

1. Scope and Our Privacy Roles

This Policy applies to personal information that QuorumKeeper™ handles through the Service. “Personal information” means information that identifies, relates to, describes, or can reasonably be linked with an individual.

QuorumKeeper™ may have different privacy roles depending on the information and the context:

- QuorumKeeper™-controlled information. QuorumKeeper™ determines why and how it uses information needed to create and secure accounts, administer trials and subscriptions, process billing, provide support, communicate about the Service, prevent misuse, and satisfy legal obligations.


- Organization-controlled information. Organizations use QuorumKeeper™ to manage their users, meetings, rosters, attendance, and quorum records. For this information, the organization generally decides why the information is collected and how it is used. QuorumKeeper™ generally processes it to provide the Service under the organization’s instructions.

If your information was entered into QuorumKeeper™ by an organization, your first point of contact for questions or requests about that information may be the organization. We may direct a request to the relevant organization or assist the organization in responding.

2. Information We Collect

The information we collect depends on how you and your organization use QuorumKeeper™.

 

2.1 Account and Profile Information

 

We may collect:

- first and last name;
- email address;
- authentication account identifiers;
- encrypted or provider-managed authentication credentials;
- email-confirmation status;
- account-creation and last-sign-in timestamps;
- organization role, such as administrator, assistant, or viewer;
- organization-access status, including active or inactive status; and
- invitation, activation, deactivation, and reactivation information.

 

2.2 Organization and Subscription Information

We may collect:

- organization name;
- organization settings and configuration;
- billing-owner identity and email address;
- trial eligibility and trial dates;
- subscription status, renewal information, cancellation status, and grace-period status;
- plan limits and user counts;
- payment-processor customer, subscription, invoice, and transaction identifiers; and
- payment status and limited payment-method details made available by the payment processor.

Stripe or another disclosed payment processor collects and processes complete payment-card, bank-account, or other payment credentials. QuorumKeeper™ does not store complete payment-card numbers.

2.3 Meeting, Roster, Attendance, and Quorum Information

Organizations and their authorized users may submit:

- meeting name, date, and configuration;
- roster-member names and identifiers;
- optional secondary identifiers supplied by the organization;
- roster assignments and meeting participation;
- check-in, attendance, and status information;
- attendance timestamps and related activity;
- quorum method, target, percentage, and configuration;
- quorum events, calculations, and history; and
- reports, exports, and archived meeting records.

The organization is responsible for determining what information is appropriate to enter and for providing required notices or obtaining required permissions.

2.4 Communications and Support Information

We may collect:

- messages and attachments sent to QuorumKeeper™ Support;
- organization invitations;
- account-confirmation and password-recovery communications;
- organization-access activation and deactivation notices;
- subscription, billing, and security communications;
- email-delivery status, provider message identifiers, send attempts, timestamps, bounce or failure information, and spam complaints; and
- records of support actions and administrative recovery actions.

 

2.5 Technical, Usage, and Security Information

 

When you use the Service, we and our service providers may automatically collect information needed to operate, secure, and troubleshoot it, such as:

- IP address;
- browser, device, and operating-system information;
- date and time of access;
- authentication, session, and security events;
- pages or features used;
- application errors and diagnostic logs; and
- records of actions taken in the Service.

We use this information for service delivery, security, fraud and abuse prevention, diagnostics, and improvement—not for cross-context behavioral advertising.

 

2.6 Cookies and Similar Technologies

QuorumKeeper™ may use cookies, browser storage, tokens, and similar technologies that are necessary to:

- maintain authenticated sessions;
- remember preferences;
- protect accounts and the Service;
- route requests; and
- diagnose technical issues.

QuorumKeeper™ does not currently use personal information for targeted advertising or cross-context behavioral advertising. If we later introduce nonessential analytics, advertising technologies, or materially different tracking, we will update this Policy and provide any notice or choice required by law.

2.7 Information From Other Sources

We may receive information from:

- organization administrators and other authorized organization users;
- identity and authentication providers;
- payment processors such as Stripe;
- email-delivery providers such as Resend and Microsoft;
- hosting, database, logging, and security providers;
- publicly available sources when reasonably necessary to verify an organization or prevent fraud; and
- parties involved in a business transaction or legal process.

3. How We Use Personal Information

We may use personal information to:

- provide, operate, maintain, and improve QuorumKeeper™;
- create and authenticate accounts;
- administer organization access, roles, and invitations;
- support meeting, roster, attendance, and quorum workflows;
- provide reports and exports requested by authorized users;
- administer trials, subscriptions, user limits, billing ownership, and payment status;
- process transactions and provide access to the billing portal;
- send transactional emails, including invitations, confirmations, password resets, access-status notices, billing notices, and security messages;
- respond to questions and provide support;
- monitor availability, troubleshoot errors, and improve reliability;
- protect accounts, organizations, personal information, and the Service;
- detect, investigate, and prevent fraud, abuse, unauthorized access, and violations of our Terms;
- maintain audit records and enforce organization and platform permissions;
- comply with law, court orders, lawful requests, and our legal obligations;
- establish, exercise, or defend legal claims; and
- Complete a merger, financing, acquisition, reorganization, sale of assets, or similar business transactions.

We may create aggregated or deidentified information that cannot reasonably be linked to an individual and use it for lawful business purposes. Such purposes may include analytics, benchmarking, service improvement, product development, security, operational reporting, and business planning.  We will not attempt to reidentify information that we are legally required to maintain as deidentified.

4. How We Disclose Personal Information

We may disclose personal information as described below.

4.1 Within an organization

Authorized users of an organization may be able to view or manage information based on their role. For example, organization administrators may manage users, invitations, roles, access status, settings, billing ownership, meeting records, rosters, attendance, and quorum information.

An organization is responsible for assigning appropriate roles and limiting access to authorized people.

4.2 Service Providers

We may disclose information to vendors that help us provide the Service, including providers of:

- cloud hosting and application deployment;
- databases, authentication, and storage;
- payment processing and subscription management;
- email delivery and business email;
- security, monitoring, diagnostics, and fraud prevention;
- customer support and communications; and
- professional services such as legal, accounting, insurance, and auditing.

These providers may process information only as permitted by their agreements with us and applicable law.

Current core providers include Supabase, Vercel, Stripe, Resend, and Microsoft 365. We may add, remove, or replace service providers as the Service evolves. Those providers may be located in the United States or other jurisdictions and may process information on our behalf consistent with this Policy and applicable law.

4.3 Legal, Safety, and Rights Protection

We may disclose information when we reasonably believe disclosure is necessary to:

- comply with applicable law, regulation, legal process, or a lawful government request;
- protect the rights, property, safety, or security of QuorumKeeper™, our users, organizations, or others;
- detect, investigate, or prevent fraud, abuse, security incidents, or unlawful activity;
- enforce our agreements and policies; or
- establish, exercise, or defend legal claims.

4.4 Business Transactions

We may disclose or transfer information in connection with a merger, financing, acquisition, reorganization, bankruptcy, sale of assets, or similar transactions. Where required, we will provide notice before personal information becomes subject to a materially different privacy policy.

4.5 With Direction or Consent

We may disclose information when an organization or individual directs us to do so, consents, or intentionally uses a feature that requires the disclosure.

 4.6 No Sale or Targeted Advertising

 

QuorumKeeper™ does not currently sell personal information for money, share personal information for cross-context behavioral advertising, or process personal information for targeted advertising.

5. Organization-Controlled Information

When an organization supplies or manages personal information through QuorumKeeper™:

- the organization determines what information to collect and why;
- the organization is responsible for its legal authority to use the information;
- the organization must provide required privacy notices and obtain required permissions;
- the organization controls which users may access the information;
- the organization is responsible for the accuracy of the information;
- requests to access, correct, delete, or obtain the information may need to be directed to the organization; and
- QuorumKeeper™ does not independently determine how organization-controlled information is used and is not responsible for the organization's privacy practices, notices, permissions, legal bases for processing, retention decisions, or compliance obligations.

QuorumKeeper™ may assist organizations with privacy requests when required by law or contract. We will not independently change organization-controlled records when doing so would conflict with the organization’s lawful instructions, legal obligations, or another person’s rights.

6. Data Retention

We retain personal information for as long as reasonably necessary to:

- provide and secure the Service;
- maintain active accounts, trials, and subscriptions;
- preserve organization records during the applicable service period;
- process payments and maintain financial records;
- provide support and resolve disputes;
- enforce agreements;
- prevent fraud or abuse;
- maintain legally or operationally necessary audit records; and
- comply with tax, accounting, legal, and regulatory obligations.

When information is no longer needed, we may delete, deidentify, or aggregate it, subject to legal obligations, legitimate business needs, technical limitations, and backup schedules. Information in backups may remain until the backup is overwritten or expires under our backup practices.

Canceling a subscription does not automatically delete an account or Organization Data. Organizations should export records they are required or wish to retain. QuorumKeeper™ is not an organization’s exclusive records-retention system unless we agree otherwise in writing.

7. Security

We use administrative, technical, and organizational safeguards designed to protect personal information against unauthorized access, disclosure, alteration, and destruction.

While we use safeguards designed to protect personal information, no method of transmission, storage, or security measure is completely secure, and we cannot guarantee absolute security. Users are responsible for maintaining the confidentiality of their account credentials, protecting their authentication methods, and promptly notifying QuorumKeeper™ of any suspected unauthorized access to their accounts.

8. Your Choices and Privacy Rights

Depending on where you live and subject to applicable exceptions, you may have the right to:

- confirm whether we process your personal information;
- access personal information;
- correct inaccurate personal information;
- delete personal information;
- obtain a portable copy of personal information;
- opt out of the sale of personal information;
- opt out of targeted advertising;
- opt out of certain profiling that produces legal or similarly significant effects;
- limit or withdraw consent where processing is based on consent;
- appeal a decision concerning a privacy request; and
- not be discriminated against for exercising a privacy right.

Because QuorumKeeper™ does not currently sell personal information or use it for targeted advertising, those opt-outs do not presently apply to our practices.

To submit a request, email support@quorumkeeper.com with the subject line “Privacy Request” and describe your request. We may need to verify your identity and authority before responding. We will use information provided for verification only to evaluate and fulfill the request.

An authorized agent may submit a request when permitted by law. We may require proof of the agent’s authority and may ask the individual to verify their identity directly.

If your request concerns information controlled by an organization, we may direct you to that organization or coordinate with it. We reserve the right to refuse, limit, charge for, or defer action on requests to the extent permitted by applicable law, including where requests are repetitive, excessive, manifestly unfounded, technically infeasible, impair security, conflict with legal obligations, or adversely affect the rights of others.

If we deny an appealable request, our response will explain how to appeal. An appeal may be submitted to support@quorumkeeper.com with the subject line “Privacy Appeal.”

9. Children’s and Minors’ Information

QuorumKeeper™ is a business service and is not directed to children under 13. Children under 13 may not create QuorumKeeper™ accounts, and we do not knowingly solicit personal information directly from them.

An organization may use roster or attendance records that concern minors only when the organization has lawful authority to do so, provides legally required notices, obtains legally required permission, limits the information to what is appropriate, and uses QuorumKeeper™ in compliance with applicable law and its governing policies.

If you believe a child under 13 created an account or submitted personal information directly to QuorumKeeper™ without appropriate authorization, contact support@quorumkeeper.com.

10. Sensitive Information

QuorumKeeper™ is not designed to collect Social Security numbers, complete payment-card information, financial-account credentials, protected health information, medical records, biometric identifiers, or other highly sensitive information unless we expressly agree in writing to process it. Organizations and users must not upload or submit sensitive information that QuorumKeeper™ has not expressly agreed in writing to process.

Do not upload highly sensitive information that is not necessary for meeting attendance or quorum administration. Organizations should use the least sensitive identifier reasonably sufficient for their purposes.

If we learn that prohibited or unnecessary sensitive information was submitted, we may restrict access to it, delete it, or contact the organization about appropriate next steps, subject to applicable law.

11. International Use and Data Transfers

QuorumKeeper™ is operated from the United States, and our service providers may process information in the United States and other countries. Those countries may have privacy laws that differ from the laws where you live.

If we offer the Service in a jurisdiction that requires a particular transfer mechanism or additional notice, we will implement the required safeguards before doing so.

 12. Third-Party Services and Links

The Service may link to or integrate with third-party services, including payment and billing portals. A third party’s privacy policy governs information the third party collects for its own purposes. We encourage you to review those policies.

This Policy does not apply to independent third-party websites, services, or practices that QuorumKeeper™ does not control.

13. Changes to This Policy

We may update this Policy as the Service, our practices, or the law changes. The updated Policy will state a revised effective date and version.

If a change is material, we will provide reasonable notice through the Service, by email, or by another appropriate method before the change takes effect when required by law. We may request renewed consent or acceptance when legally required.
